Luxembourg on M&A/Private Equity

A new law (New Law) implementing the EU Directive on cross border conversions, mergers and demergers (Mobility Directive) entered into force on March 2, 2025.

To recap, Directive (EU) 2019/2121 as regards cross-border conversions, mergers and divisions (Mobility Directive) amended Directive (EU) 2017/1132 (Companies Directive) and should have been implemented into Luxembourg.

In the Booking.com case, a court ruling is up for review by the Supreme Court for the second time.
