KILIC & Partners advises that according to the Federal Law No. 106-FZ "On Introduction of Amendments to Certain Legislative Acts of the Russian Federation" dated May 5, 2014, which entered into force on January 1, 2015, all branches and representative offices of foreign legal entities must re-register with the Tax Authority by April 1, 2015.

The most important changes are:

  • A new State Register of Accredited Branches and Representative Offices of Legal Entities (the "Register") was created on January 1, 2015. The information about branches and representative offices contained in the Register is publicly available on the Internet;
  • The Interdistrict Inspectorate of the Federal Tax Service No. 47 of Moscow (the "Tax Authority") is responsible to maintain the Register and to accredit all branches and representative offices of foreign legal entities (except representative offices of banks and credit institutions);
  • The Chamber of Commerce and Industry of the Russian Federation is responsible for the accreditation of and visa support for all foreign employees of branches and representative offices;
  • Branches and representative offices whose accreditation term expires from February 1, 2015 to April 1, 2015 should apply to the Tax Authority for new accreditation no later than thirty (30) days before the expiration of the accreditation term;
  • Branches and representative offices whose accreditation term expires after April 1, 2015 should apply to the Tax Authority for inclusion to the Register by April 1, 2015;
  • The accreditation of branches and representative offices will be automatically terminated as of April 1, 2015, unless the branches and representative offices comply with the new procedure of registration;
  • The regulations of branches and representative offices should be brought in compliance with the Law "On Foreign Investments in the Russian Federation".
