Maples and Calder (Luxembourg) SARL, the Maples Group’s law firm, is pleased to have advised Francisco Partners as Luxembourg counsel in connection with its leveraged acquisition of EfficientIP SAS, a French simplified joint-stock company and recognised leader in the cybersecurity and network management sector.

Maples and Calder (Luxembourg) SARL, the Maples Group’s law firm, is pleased to have advised Francisco Partners as Luxembourg counsel in connection with its acquisition of EfficientIP SAS, a French simplified joint-stock company and recognised leader in the cybersecurity and network management sector. The transaction was structured as a buyout from existing shareholders and reinforces Francisco Partners’ strategic position in the cybersecurity infrastructure market.

The Maples Group advised on all Luxembourg aspects of the acquisition, including the transaction structure, financing arrangements, shareholder arrangements and management incentive arrangements.

Working closely with Francisco Partners and international counsel, the Maples Group delivered the Luxembourg elements required to support the acquisition and establish the investment platform for the sponsor’s investment in EfficientIP.

A team of lawyers based in the firm’s Luxembourg office acted as Luxembourg counsel to Francisco Partners and was led by Corporate Partner, Baptiste Aubry, with assistance from Of Counsel, Christopher Clarke, and Associates, Laeticia Staudt Colaneri and Victoria Brugmans. Paul Hastings also acted as lead French counsel on the transaction.
