BUREN assisted Carrera JVCo Ltd, a joint venture between Stonepeak and Energy Equation Partners (EEP), in connection with its acquisition of 100% of the shares in Anwim S.A. from Enterprise Investors (through Polish Enterprise Fund VIII) and the founding shareholders.
Anwim is Poland's largest independent fuel marketer and owner of the rapidly growing MOYA fuel station network. The company is active throughout the fuel value chain, including import, wholesale and retail fuel distribution, and is expanding its activities in e-mobility and the broader energy transition. With more than 540 service stations and approximately 3 billion litres of fuel volume annually, Anwim has established itself as a leading player in the Polish fuel market.
The transaction forms part of Stonepeak and EEP's strategy to build a leading European fuel retail and mobility platform, following their acquisition of a majority interest in JET Tankstellen Deutschland GmbH in 2025.
BUREN advised on all Dutch law aspects of the transaction. Our work included conducting Dutch legal due diligence on the Dutch subsidiaries of the Anwim group and assisting with the review and negotiation of the transaction and underwriting documentation.
The transaction was particularly notable for its scale and complexity, involving multiple jurisdictions across Europe and beyond, including Poland, the Netherlands, Belgium, France, Austria, the United Kingdom and the United States.
