Mergers and Acquisitions

  • Advised Carrier Logistics Inc., a leader in freight management software, in its acquisition by private equity firm STG Partners. The acquisition will accelerate product innovation by integrating advanced agentic AI frameworks into Carrier Logistics’ core architecture, significantly automating and optimizing all aspects of operations. The deal team included Zac Turke, Jeff Kaye and Arthur Moore. Invaluable assistance was provided by Michael Chan, Snehal Desai, Frank Dworak, Shawn Fabian, Justin Hepworth, Carlo Van den Bosch, Jared Whalen, Dan Yannuzzi, Sally Elshihabi, Derek Rockers, Brian Egan, Cami Khalili, Andrea Park, Brianna Rodriguez and Michael Weisshar.
  • Represented Red Cat Holdings, Inc. (Nasdaq: RCAT), a U.S.-based provider of advanced all-domain drone and robotic solutions for defense and national security, in the acquisition of Apium Swarm Robotics, a developer of distributed control systems for autonomous swarming drones and uncrewed surface vessels. The acquisition deepens Red Cat’s ability to deliver intelligent, adaptive unmanned systems that enable coordinated operations in contested and communication-degraded environments. The deal team included Chad Ensz and John Tishler, with assistance from Shawn Fabian, Wynter Deagle, Keith Szeliga, Niya Tang, Doug Yeager, Fernando Harris, Theo Mayer, Matthew Rebelo, Umar Sattar and Michael Weisshar.

Public Offerings

  • Represented The Benchmark Company as sole book running manager for Rank One Computing Corporation (Nasdaq: ROC) in its $24 million initial public offering of common stock. Rank One is a leading U.S. developer and manufacturer of Vision AI, delivering sovereign biometrics, video analytics and mission intelligence for defense, public safety and digital commerce. Rank One intends to use the net proceeds from the offering to expand its operations and to update its neural-processing infrastructure to accelerate the pace of training and deploying Vision AI algorithms. The deal team included Richard Friedman, Sean Reid and Emily Mastoloni.
  • Advised Datacentrex, Inc. (Nasdaq: DTCX) in its $20.17 million public offering of common stock and pre-funded warrants. Datacentrex is a digital infrastructure and capital deployment company that owns and operates Scrypt compute assets and evaluates strategic transactions across asset-backed operating businesses. The team was led by Richard Friedman, Nazia Khan, Michael Blane and Ben Speizman.
  • Represented Myseum (Nasdaq: MYSE) in connection with its $3.5 million at-the-market offering of common shares. Myseum is a privacy and social media technology company. Its flagship platform is Picture Party by Myseum, enabling users to share their photos and videos. It also operates the DatChat Messenger & Private Social Network, which allows users to change how long their messages can be viewed before or after users send them, prevents screenshots and hides encrypted photos in plain sight on camera rolls. The deal team included Richard Friedman and Greg Carney.
  • Advised TriSalus Life Sciences, Inc. (Nasdaq: TLSI) in its $40 million public offering of common stock. TriSalus is an oncology-focused medical technology company advancing novel drug delivery technologies alongside standard-of-care therapies to improve outcomes for patients with solid tumors. The deal team included Jeffrey Fessler and Emily Mastoloni.

Private Placements

  • Represented Hoth Therapeutics, Inc. (Nasdaq: HOTH), a clinical-stage biopharmaceutical company focused on developing innovative therapies for unmet medical needs, in its $2.0 million public offering of common stock. The deal team included Richard Friedman, Nazia Khan and Emily Mastoloni.
  • Advised WallachBeth Capital as placement agent in Tenon Medical’s $4.3 million private placement of senior convertible promissory notes with several institutional and high net worth investors. Tenon Medical (NASDAQ:TNON) expects to use the net proceeds for commercial expansion, production development, clinical studies and working capital. The deal team included Richard Friedman, Sean Reid and Emily Mastoloni.
