The transfer of shares in a license-holding company operating in the natural gas market is not merely a corporate law transaction to be completed under the Turkish Commercial Code. Prior approval from the Energy Market Regulatory Authority may be required where, among other matters, direct or indirect share acquisitions cross above or below specified thresholds or privileges or usufruct rights are created.

Pursuant to the Turkish Commercial Code No. 6102 (“TCC”), the general assembly is the most fundamental establishment through which shareholders of a joint stock company participate in the management and audit of the company. The ability of the general assembly to convene in accordance with the law and the articles of association, and to validly express its will, is directly related to the duly calling of shareholders to the meeting.

6102 sayılı Türk Ticaret Kanunu (“TTK”) uyarınca anonim şirket ortaklarının şirket yönetimine ve denetimine katılım sağladığı en temel organ genel kuruldur. Genel kurulun hukuka ve esas sözleşmeye uygun şekilde toplanabilmesi ve iradesini geçerli bir biçimde ortaya koyabilmesi, pay sahiplerinin usulüne uygun olarak toplantıya çağrılması ile doğrudan ilişkilidir. İşbu makalemizde, anonim şirket genel kurullarında çağrı usulünün yasal çerçevesi, bu usule uyulmamasının doğurduğu hukuki sonuçlar ve bu aykırılıkların şirket kararları üzerindeki yaptırımları ele alınmaktadır.
