Lecture: Information Asymmetry in Corporate Transactions
Corporate acquisitions are often characterized by "information asymmetry." Put simply, sellers have more information about companies being sold than potential buyers. This lack of information can reduce prices that buyers are willing to pay or prevent transactions entirely. In this context, corporate lawyers play an important role in solving the informational problems that can otherwise result in market failure. Through a combination of research, negotiation, and contractual drafting, corporate lawyers help buyers and sellers strike mutually beneficial bargains.
In this talk, professor Hutchison will draw on real-world examples to explain the concept of information asymmetry, showing that much of transactional practice involves solving problems of imperfect information.
Guest speaker: Camden Hutchison
Camden Hutchison is an Associate Professor at the Peter A. Allard School of Law and the Director of the Centre for Business Law. His research and teaching focus on corporate transactions, comparative corporate governance, and the historical development of corporate law. He has also published on corporate taxation and competition law. His current research focuses on directors' duties and shareholders' rights in international context.
Prior to joining the law faculty, Camden earned his PhD in history at the University of Wisconsin–Madison, where his dissertation examined the history of corporate regulation in the nineteenth- and twentieth-century United States. Before returning to graduate school, he practised as a corporate associate at the law firm of Kirkland & Ellis LLP, where he represented private equity firms and public corporations in connection with mergers, acquisitions, and other corporate transactions. Camden holds a JD from Columbia Law School and a BA in history from the University of Rochester.
