We advised global investment firm Carlyle (NASDAQ: CG) on the completion of its acquisition of a diversified FPSO (Floating Production, Storage and Offloading) business from Altera Infrastructure Group, a leading offshore energy infrastructure company owned by Brookfield Asset Management's private equity business.

The transaction, which was announced in September 2025 and has now closed, sees Carlyle acquire ownership of multiple FPSOs and one FSO (Floating Storage and Offloading), underpinned by long-term contracts with major oil and gas companies. The significant investment from Carlyle will enable further development of Altera's FPSO business.

We advised Carlyle on the Jersey and Cayman law aspects of the acquisition, working alongside lead counsel, Akin Gump from signing through to closing on a transaction that further builds on Carlyle's track record of successful carve-outs of energy assets.

Our Jersey Corporate team was led by partner Tatiana Collins, supported by senior counsel Luke Steele and associates Charlotte Beal and Gemma Nicol. They worked closely with our London Corporate team, who advised on the Cayman Islands aspects of the transaction. The London team was led by partner Neil McDonald with support from senior counsel Catherine Outerbridge.
