Accelerant (NYSE: ARX), the data-driven risk exchange platform transforming the specialty insurance marketplace through the Accelerant Risk Exchange, has entered into a definitive agreement with Thoma Bravo to become a privately held company in an all-cash transaction.

We are serving as Cayman Islands counsel to Thoma Bravo.

Under the terms of the agreement, Accelerant Class A and Class B stockholders will receive $20.25 per share in cash, representing a 49% premium to Accelerant's closing share price on 12 August 2026, in a take-private all-cash transaction with an enterprise value of more than $4bn.

The transaction is being led by Corporate partners Jason Allison, Hugh Anderson and Michael Beck, with assistance from senior counsel Sam Buchan and associate Manon Cote, who are working in close collaboration with our Insolvency and Dispute Resolution team led by partner Barnaby Gowrie with assistance from senior counsel Patrick McConvey, our Insurance team led by Gary Harris with assistance from senior counsel Erin Diachkoff, and our Regulatory team led by partner Juliana Tang.
