DALLAS, February 27, 2026 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, is advising Matador Resources Company (NYSE: MTDR) ("Matador") in a $750 million private offering of senior unsecured notes and a concurrent cash tender offer for its outstanding 6.875% senior notes due 2028.

On February 26, 2026, Matador priced $750 million aggregate principal amount of 6.000% senior unsecured notes due 2034 at 100% of face value. The offering is expected to close on March 5, 2026, subject to customary closing conditions.

Matador intends to use the net proceeds to fund its tender offer for Matador's $500 million outstanding aggregate principal amount of 6.875% senior notes due 2028 and to repay borrowings outstanding under its credit facility.

Matador is an independent energy company engaged in the exploration, development, production, and acquisition of oil and natural gas resources in the United States, with operations focused primarily on the Wolfcamp and Bone Spring plays in the Delaware Basin in Southeast New Mexico and West Texas, as well as the Haynesville shale and Cotton Valley plays in Northwest Louisiana. Additionally, Matador conducts midstream operations in support of, and to provide flow assurance for, its exploration, development and production operations and provides natural gas processing, oil transportation services, oil, natural gas and produced water gathering services and produced water disposal services to third parties.
