The Public M&A and Technology team advised Lumine Group (TSXV: LMN), a global acquirer of communications and media software businesses, on its definitive agreement to acquire Synchronoss Technologies (Nasdaq: SNCR), a leading provider of personal cloud platforms, in an all-cash transaction.

The transaction values Synchronoss at an implied equity value of approximately $116.4 million and an enterprise value of approximately $258.4 million. Under the terms of the agreement, Synchronoss shareholders will receive $9.00 per share in cash, representing a premium of approximately 70% over the closing price on December 3, 2025. Upon closing, Synchronoss will become a privately held company. The transaction is expected to close in the first half of 2026, subject to shareholder and regulatory approvals and customary closing conditions.

Lumine Group acquires, strengthens, and grows vertical market software businesses in the communications and media industry.

Synchronoss Technologies is a global leader in personal cloud solutions that empowers service providers to establish secure and meaningful connections with their subscribers.
