Mintz represented Oppenheimer & Co., as sole book-running manager, and Craig-Hallum Capital Group and Northland Securities, as co-managers, in the private placement of $475 million aggregate principal amount of 4.625% Convertible Senior Notes due 2030 issued by WisdomTree, Inc (NYSE: WT) ("WisdomTree"). The notes were sold to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933.
WisdomTree intends to use a majority of the proceeds of the issuance to pay the closing consideration for its previously announced acquisition of Ceres Partners, LLC ("Ceres"), a leading U.S.-based alternative asset manager specializing in farmland investments. The acquisition delivers immediate scale and long-term upside, bringing approximately $1.85 billion in assets under management across approximately 545 U.S. farmland properties spanning 12 states, predominantly in the Midwest. Ceres has a strong track record of performance, having delivered a 10.3% net average annual total return since its inception in 2007—outperforming farmland benchmarks.
