Our Cayman Islands Corporate team recently acted as Cayman Islands legal counsel to Open World Ltd. (Open World) on the completion of its reverse merger with a wholly owned subsidiary of VerifyMe, Inc. (NASDAQ: VRME) (VerifyMe). The transaction completed on 30 September 2026.

Founded in 2023, Open World is a technology-powered digital assets and blockchain innovation company that brings real-world assets on-chain. Its capabilities include real-world asset tokenisation, stablecoin infrastructure and capital markets advisory, with active engagements across the United States, GCC, Europe, Southeast Asia, and Africa. VerifyMe provided specialised logistics for time- and temperature-sensitive products, as well as brand protection and enhancement solutions.

Effective 1 October 2026, VerifyMe changed its name to 'OpenWorld, Inc.' (OpenWorld) and its common stock began trading on NASDAQ under the ticker symbol 'OPNW' at market open that day. OpenWorld also intends to pursue a dual listing on Figure OPEN, a blockchain-based trading platform, which it expects to go live by November 2026.

The transaction was led by partners Andrew Barker and Melissa Lim, senior counsel Olivia Fielding and was supported by associate Max Ankers, all based out of our Cayman Islands office.

We acted alongside Latham & Watkins LLP, who provided US legal counsel to Open World.
