Goodwin's Private Equity team represented Astrodyne TDI, a portfolio company of Tinicum L.P., in its acquisition by TE Connectivity. Under the terms of the definitive agreement, TE Connectivity will acquire Astrodyne TDI, a leading provider of advanced power management and filtering solutions for mission-critical industrial applications, for approximately $1.4 billion, subject to customary regulatory approvals and closing conditions. The transaction is expected to close by the end of the calendar year.

Upon closing, Astrodyne TDI is expected to become part of TE Connectivity's Automation & Connected Living sector and contribute annual sales of more than $250 million.

Astrodyne TDI, LLC, designs and manufactures innovative power solutions for demanding applications worldwide. The company's products include power supplies and EMI filters for industrial, semiconductor manufacturing, medical, military, and aerospace customers.

Tinicum L.P., founded in 1974 as a family investment office, is a private partnership that manages a diversified group of industrial technology, manufacturing, and distribution companies.
