Drawing on our transatlantic Life Sciences & Healthcare and international capital markets capabilities, we are advising Neuphoria Therapeutics Inc. (Nasdaq: NEUP) on its all-share merger with AIM-listed Scancell Holdings plc, alongside a concurrent USD89M equity and debt financing package.
Neuphoria Therapeutics Inc. is a Nasdaq-listed biotechnology company incorporated in Delaware. It has partnered its development programs with third parties to address the complex needs of individuals affected by neuropsychiatric disorders. Scancell is an AIM-listed late-stage clinical biotechnology company incorporated under the laws of England and Wales. The merger and associated debt and equity fundraising will enable the combined group to fund the global Phase 3 clinical trial for Scancell's iSCIB1+ lead program for active immunotherapy in advanced melanoma. The combined company will operate under the Scancell name and will trade on Nasdaq alongside Scancell's existing AIM listing.
Legacy Neuphoria stockholders will be entitled to receive the net proceeds of Neuphoria’s partnered programs by virtue of contingent value rights to be granted to those stockholders as part of the merger consideration.
The merger is expected to complete in the fourth quarter of 2026, subject to customary closing conditions, including shareholder approvals and completion of the Nasdaq listing process. At current share prices, the combined company will have a market capitalization of approximately USD250M.
