McDermott Will & Schulte LLP advised Fidia Farmaceutici, a company engaged in the research, development, manufacture and marketing of innovative products based on hyaluronic acid and its derivatives, on its acquisition of the entire share capital of Fidia Specialty S.r.l. (formerly Fidelio S.r.l.), a company wholly owned by So.Se.PHARM S.r.l. of the Florio group. Certain generic pharmaceutical business lines had previously been contributed to Fidia Specialty, relating to the marketing of the generic pharmaceutical products Alamut, Antunes, Berny, Crotonil, Dicolev, Ferrogyn, Giachela, Nebiscon and Tadap, which are currently distributed in the Italian and European markets, in North Africa and the Middle East, as well as in certain Asian countries.

The McDermott team, composed of partner Alfonso Annibale de Marco and associate Luca Airaghi, advised Fidia Farmaceutici on the legal aspects of the transaction. The Fidia Farmaceutici group acted internally through a team led by Senior VP Corporate Ranieri Venerosi Pesciolini.

Through this acquisition, the Fidia Farmaceutici group — which already operates in more than 100 countries worldwide across strategic therapeutic areas such as joint care, skin care, eye care, aesthetic care, specialty care, regenerative care and primary care, and employs more than 1,700 people — continues its global growth path, strengthening its distribution capacity particularly in Eastern Europe and the Middle East, while also enriching its distribution offering in strategic business areas.

The Florio group, through its companies Special Product's Line, which specializes in the production of non-sterile pharmaceuticals, and Biomedica Foscama, one of the leading Italian producers of sterile pharmaceuticals, will retain production of the newly acquired products for the Fidia group.
