acted as legal advisor to Nunhems India Private
Limited, part of BASF’s vegetable seeds business
(BASF | Nunhems), in its acquisition of Noble Seeds Private
Limited. The transaction has resulted in Noble Seeds becoming a
wholly owned subsidiary of Nunhems India Private Limited.
The acquisition aligns with BASF | Nunhems’ long-term
strategy to strengthen its footprint in India’s rapidly
evolving vegetable seed market. The combination enhances the
group’s ability to offer a comprehensive and locally relevant
product portfolio to Indian growers. This transaction also enables
enhanced pan-India coverage and improved regional support for BASF
| Nunhems and Noble Seeds.
As part of the transaction, JSA provided end-to-end legal
support, including conducting due diligence, advising on
transaction structuring, drafting and negotiating definitive
agreements, and assisting with closing and post-closing
actions.
