We advised EPS Ventures Ltd. (EPS), a subsidiary of Eastern Pacific Shipping, on its $207m take-private acquisition of the outstanding shares of Cool Company Ltd. (CoolCo) it did not already own.
CoolCo is a leading LNG carrier, owner and operator whose shares were listed on the New York Stock Exchange and Euronext Growth Oslo. The transaction was implemented through a Bermuda law statutory merger of a wholly-owned subsidiary of EPS with and into CoolCo.
Working alongside US counsel Skadden, and Norwegian counsel Wikborg Rein, our team advised on all Bermuda law aspects of the proposed transaction.
