Herbert Smith Freehills Kramer a conseillé Cellnex France S.A.S., filiale à 100 % du groupe espagnol Cellnex, dans le cadre de la signature d’un accord d’option de vente avec Vauban Infra Fibre (VIF) portant sur la cession de 99,99 % du capital social de Towerlink France S.A.S., entité responsable des principales opérations de centres de données du groupe en France.

Le projet de transaction, évalué à 391 millions d’euros, s’inscrit dans la feuille de route stratégique de Cellnex et permettra au groupe de continuer à se concentrer sur ses domaines d’activité principaux. Le projet de transaction demeure soumis à la satisfaction des conditions habituelles pour ce type d’opération, notamment à la procédure d’information et de consultation des instances représentatives du personnel en France, à l’obtention des autorisations réglementaires nécessaires et à la satisfaction des exigences contractuelles standards.

Vauban Infra Fibre, soutenue par des fonds de Vauban Infrastructure Partners, des entités de Crédit Agricole Assurances et Raffles (filiale de GIC), dispose d'une forte présence sur de nombreux sites en France, dont plusieurs sont déjà opérationnels.
