Carter Ledyard clients Magic Software Enterprises Ltd. and Matrix IT Ltd. signed a definitive merger agreement on November 3, 2025.
Subject to approvals, Magic Software will merge with Matrix IT, becoming a subsidiary. Magic shareholders will receive Matrix shares, holding 31.125% post-merger.
The merger will result in one of the 31 largest Israeli companies on the Tel Aviv Stock Exchange, and one of the largest IT companies in the world. It is the biggest merger in the IT market in Israel's history.
Carter Ledyard advised Magic Software on US legal aspects of the deal.
Carter Ledyard's cross-border department deal team was led by partner Guy Ben Ami, supported by partner Steven J. Glusband and associate Claudia Carbone. Tax partner Melinda Fellner and corporate paralegal Marianne Bellucci also assisted with the transaction.
