Herbert Smith Freehills Kramer advised Schmidt Groupe, french leader in custom interior design, as part of the acquisition of a majority stake in Cubro Design, a pioneering spanish company specializing in the manufacture of custom kitchen fronts for online sale.

Schmidt Groupe is the leading french manufacturer of custom solutions for kitchens, bathrooms, and interiors. The group operates under two main brands (Schmidt and Cuisinella) and employs over 1,900 people. Schmidt Groupe has developed a distribution network in 22 countries and continues its geographic expansion by strengthening its presence in attractive markets.

This strategic operation allows Schmidt Groupe to diversify its product offering and strengthen its presence in the european market.
The Herbert Smith Freehills Kramer cross-border team included:

  • In Paris: Frédéric Bouvet, partner, Martin Dijos, of counsel, and William Mekki, associate in corporate, and Sophie Brezin, partner, supported by Elisabeth Debrégeas, of counsel in employment law; and
  • In Madrid: Marcos Fernandez-Rico, partner, Soledad Bialet, senior associate, supported by Álvaro Martínez and Ana Armero.

HSFK worked closely with the Schmidt Groupe team in charge of the operation, notably Yvan Stehly, chief finance officer (CFO), and Tanguy de Boisset, chief legal officer (CLO).

Schmidt Groupe was advised on financial and fiscal aspects by the RSM teams comprising Daniel Rochat, managing partner, Jérémy Ravoire, and Benjamin Gibello in Paris, and Guy Richard Wallis, partner, and Mencía Lapetra in Madrid.

The founders were advised by Callol, Coca & Asociados with a team in Madrid on Corporate/M&A aspects composed of Eduardo Coca, founding partner, Marta Yuste, and Daniel Andressen.
