CMS has advised Clara-Pensions Limited, a leading UK pension fund and member-first consolidator for defined benefit pension schemes, on the legal aspects of the launch of a new Luxembourg private markets investment fund.
This investment fund has been created in conjunction with Van Lanschot Kempen Group who will manage the fund and is expected to be registered soon. It will invest across a range of private markets assets, with an initial focus on private credit. Longer term, the vehicle will also consider other assets such as infrastructure debt and real estate debt. Approximately 30-35% of Clara assets will be held in private markets, with a significant proportion of these invested in the UK economy.
CMS acted as lead counsel to Clara-Pension Ltd. on this matter and has advised on the structuring and reviewing of the investment fund's documents with a Luxembourg Investment Funds team made up of Benjamin Bada (Partner) and Georgios Kortesis (Managing Associate) in collaboration with James Geer (Partner in the CMS London Financial Services practice) for UK pensions-related aspects.
