Appleby Hong Kong acted as Cayman Islands counsel to Xinyi Solar Holdings Limited ("Xinyi Solar") on its registration with the National Association of Financial Market Institutional Investors in the People's Republic of China ("PRC") of a proposed issuance of debt financing instruments (the "Panda Bonds") in the aggregate principal amount of not more than RMB 3 billion, to be traded on the China Interbank Bond Market.
The Panda Bonds are proposed to be issued in multiple tranches in the aggregate principal amount of not more than RMB 3 billion, as and when appropriate, within a period of two years from 12 March 2025.

Xinyi Solar is a Cayman Islands exempted company listed on The Stock Exchange of Hong Kong Limited. Xinyi Solar and its subsidiaries (collectively the "Group") are principally engaged in the production and sale of solar glass products, which are carried out internationally, through the production complexes located in the PRC and Malaysia. The Group is also engaged in the development and operation of solar farms in the PRC.
