FORT LAUDERDALE, Fla. (June 11, 2024) – Holland & Knight represented Conduent Incorporated (Nasdaq: CNDT), a global technology-led business solutions and services company, on its $132 million share repurchase of common stock beneficially owned by Carl C. Icahn and his affiliates.
The transaction was unanimously recommended to Conduent's board of directors by a Special Transaction Committee of the board, comprised solely of independent directors that were advised by independent legal and financial advisers. The entire board, except for board members employed by Icahn who recused themselves from the vote, voted in favor of the transaction.
