Schoenherr advised Aldiana Management GmbH, a DER Touristik Group subsidiary, on the purchase of Aldiana Club Ampflwang, a resort in Upper Austria. DER Touristik Group is the travel division of REWE Group.

Aldiana Club Ampflwang is located in the Hausruckwald region between Salzburg, Linz and Passau. The club features more than 200 rooms and spans a 45-hectare garden and outdoor area.

Schoenherr advised on all legal matters in connection with this purchase, including due diligence and antitrust law-related aspects.

The Schoenherr team was led by Clemens Rainer (partner) and Markus Buchleitner (attorney at law). They were joined by Yvonne Kraudinger (associate), Christoph Jirak (attorney at law) and Benjamin Schlatter (counsel) for due diligence matters as well as Hanno Wollmann (partner) and Theresa Saufnauer (associate) for antitrust law-related aspects. Markus Piuk (partner) and Michael Marschall (attorney at law) provided support on corporate law issues.

The REWE transaction team consisted of Dr Björn Schigulski (Head of M&A - Team V), Jonathan Kalanithy (Project Consultant M&A) and Alexander Lamers (Legal Counsel M&A and Financing).

The buyers were advised by BDO on the financial (Thorsten Zwiener and Elmar Hiltner) and tax (Reinhard Rindler and Werner Lelleck-Zanetti) due diligence and other transaction tax matters. Arcadis (Kai Hussing, Anke Wündisch, Christian Konstantin and Falk Schollenberger) provided expertise from the technical perspective.

The sellers were represented by Baker McKenzie (Wolfgang Eigner and Filip Peric).
