Advised VIYI Algorithm Inc. ("VIYI"), in relation to a business combination with Venus Acquisition Corporation ("Venus"), a publicly traded special purpose acquisition company listed on NASDAQ, by way of Cayman Islands statutory merger of Venus's wholly-owned subsidiary with and into VIYI, with VIYI becoming the surviving company and a wholly-owned subsidiary of Venus. Following the business combination, Venus (which was renamed to MicroAlgo Inc.) continues to be listed on NASDAQ. The transaction completed on 12 December 2022. A team of corporate lawyers based in the firm's Hong Kong office acted as Cayman Islands counsel to VIYI and was led by Corporate Partner, Derrick Kan with assistance from Corporate Associate, Vivian Lee.
