Jersey: Insolvency/Bankruptcy/Re-Structuring

On 19 June 2026, Jersey introduced a corporate administration regime through the Companies (Jersey) Amendment No. 2 Law 2026.

Jersey law enables the creation of protected cell companies (PCCs) and incorporated cell companies (ICCs), which allow for the segregation of assets and liabilities within separate cells. While PCC cells share a single legal identity with the parent company, each ICC cell operates as an independent legal entity, offering distinct advantages for structuring complex financial arrangements.

Unlike professional trustee companies, a PTC exists purely to act as trustee of one or more connected trusts, often for a single family.

The Companies (Jersey) Law 1991 has undergone significant amendments to strengthen Jersey's position as a leading international financial centre. These changes introduce enhanced flexibility in share capital management, streamlined corporate governance procedures, and modernised insolvency frameworks, all designed to provide greater clarity and efficiency for companies, investors and advisers operating in this jurisdiction.

The UK Supreme Court has overturned a Court of Appeal decision, ruling that unpaid foreign judgments can support bankruptcy petitions in England and Wales without prior recognition. This landmark judgment clarifies cross-border debt recovery procedures and aligns the English approach more closely with Jersey's position on enforcing foreign judgments through insolvency proceedings.
