Further to our updates of 18 December 2015 and 9 June 2016, Maples and Calder is pleased to announce that the Limited Liability Companies Law, 2016 came into force on 8 July 2016.

The Registrar of Limited Liability Companies has confirmed that the first available registration date will be 13 July 2016. From this date it will be possible to:

  1. form and register a new Cayman Islands limited liability company (an "LLC");
  2. migrate an entity organised in another jurisdiction into the Cayman Islands as an LLC (including from Delaware, whether for regulatory or other reasons);
  3. convert an existing Cayman Islands exempted company into an LLC; and
  4. merge an existing Cayman Islands exempted company into an LLC.
