Morrison & Foerster offers a free eight-part series for startup founders, executives, and investors on the legal side of founding a startup. This weekly seminar in our Palo Alto office will arm you with the knowledge needed to manage the legal aspects of launching, funding, and growing a startup, with insights to avoid common mistakes that can have serious consequences down the road. Topics covered by this one hour session include:
- Structure of equity investments (including dilution, liquidation preference, participation rights, conversion rights, voting rights and pre-emptive rights)
- Structure of debt investments (including conversion discounts, valuation caps and alternatives at maturity)
- Convertible note derivatives (including SAFEs and KISSs)
- General solicitation, crowdfunding and secondary liquidity
