Drawing on a multidisciplinary team spanning offices across Canada and Germany, Gowling WLG is pleased to have advised ATB Financial in connection with the senior secured credit facilities provided to Organigram Holdings Inc., supporting its cross-border acquisition of Sanity Group GmbH.
Gowling WLG advised ATB Financial as administrative agent, sole lead arranger, and bookrunner, and a syndicate of lenders.
The transaction, announced on April 15, 2026, includes Organigram's acquisition of Berlin-based Sanity Group GmbH, alongside a private placement financing and the establishment of senior secured credit facilities of up to C$60 million. The deal marks a significant step in Organigram's international growth strategy and expansion into the European cannabis market.
"This transaction reflects a defining strength of our firm: our ability to mobilize the right expertise globally to help clients navigate complex, cross-border matters with clarity and precision," said Reagan Chornoboy, Gowling WLG Lending Partner who led the transaction.
"That level of integration is critical when transactions involve multiple jurisdictions and areas of law, and ensures our clients receive consistent, cohesive advice at every stage."
ATB Financial is a financial institution and Crown corporation wholly owned by the Province of Alberta, providing a full range of financial services.
In addition to Chornoboy, the team from Canada included Larisa Albu (Partner, Lending), Graham Darling (Partner, Real Estate), Sara Josselyn (Partner, Representations and Warranty Insurance), Lesley Kim (Partner, Tax), Deron Waldock (Partner, Pensions), Steve Will (Partner, M&A), Chloe Campbell (Associate, Lending), Dragana Cucak (Associate, Real Estate), Nicolas Dolot (Associate, Lending), Robyn MacDonald (Associate, Lending), Matthew Morris (Associate, Lending), Yara Stanom (Associate, Lending), and Tamar Chamelian (Notary).
The German team was led by Carolin Glaenzel (Partner, Banking and Finance) and included Dr. Annette Rickert (Partner, Tax), Michael Sinhart (Partner, M&A), Hanno Guellicher (Associate, M&A), and Marie Thalheimer (Associate, Banking and Finance).
