New York, N.Y. (November 14, 2025) – New York Partner Frank J. Cerza presented a workshop on lease transfers and change of control provisions at the International Council of Shopping Centers (ICSC) 2025 Law Conference in San Diego on October 8.
This 60-minute session, titled “Lease Transfers and Change of Control Provisions: Navigating Recent Changes and the Maze of Permitted Transfers,” explored how commercial leases handle tenant transfer rights, with a focus on the often-overlooked issue of change-of-control events where ownership shifts but the tenant entity remains the same. Mr. Cerza was joined by Kevin Gaughan (Goulston & Storrs LLP) to address how private equity investment trends are shaping transfer negotiations and offer strategies for aligning lease provisions with current market practices.
Mr. Cerza is chair of the Italy Practice, co-chair of the Real Estate & Land Use Practice, and a vice-chair of the Commercial Lending Practice. His practice focuses on corporate and real estate business transactions and commercial finance. Mr. Cerza has more than 40 years of experience representing American and Italian companies and individuals in cross-border transactions between the U.S. and Italy.
