The Herrington Carmichael corporate team has advised a leading UK consolidator of financial advisory firms on its acquisitions of several regional and Scotland-based advisory businesses, including one operating as an appointed representative of a national network of financial advisers.

The Client

A leading UK consolidator of financial advisory firms, actively expanding its national footprint through the acquisition of regional and Scotland-based advisory businesses.

The Challenge

The client's latest round of acquisitions included several firms, one of which operated as an appointed representative (AR) of a national financial adviser network. The transaction presented a number of legal and commercial complexities, including internal shareholder disputes, integration of AR arrangements, and the need for a flexible consideration structure tied to recurring revenue.

Our Approach

The Herrington Carmichael Corporate Team provided end-to-end legal support across all aspects of the transaction. Our work included:

  • Navigating internal disputes among selling shareholders, drafting transaction documents that clearly allocated liability while preserving the buyer's full recovery rights under warranties and indemnities
  • Structuring the transaction around the AR status of the target, including flexible consideration mechanisms linked to recurring revenue retained post-termination of the AR agreement
  • Advising on interim integration planning, ensuring a smooth operational transition and enabling the winding-up of the target business once the AR arrangement concluded
  • Delivering commercially focused advice to align the deal structure with the client's long-term acquisition strategy

The acquisitions were completed successfully, with the client expanding its presence across key UK regions. The transaction structure provided the flexibility needed to manage risk while supporting future growth.
