BOGOTÁ (July 28, 2025) – Holland & Knight advised RCI Colombia S.A. Compañía de Financiamiento (RCI), a leading automotive financing company, in the successful issuance and placement of its first series of ordinary bonds, rated AAA, for a total of $150 billion Colombian pesos (approximately US$39 million) on the Colombian Stock Exchange (Bolsa de Valores de Colombia). The issuance is part of a Green and Ordinary Bond Program authorized for up to COP$900 billion (approximately US$225 million).
The issuance garnered substantial interest from the market, significantly exceeding expectations. Investor demand reached COP$363.9 billion (approximately US$95 million), allowing the company to increase the placement by COP$50 billion (approximately US$12.3 million). The transaction stood out for its high demand ratio, reflecting investor confidence in RCI's financial profile and its role in the automotive financing sector.
This transaction also represents a key milestone in RCI's efforts to diversify its funding sources and reinforce its long-term financial strategy, while contributing to the continued development of Colombia's automotive financing ecosystem. Based in Colombia with its headquarters in Envigado, RCI's main shareholders are BBVA Colombia and French international company RCI Banque S.A., which is owned by Group Renault.
BBVA Valores Colombia S.A. acted as the lead structuring, coordinating and placement agent for the issuance, with Valores Bancolombia S.A. and Acciones y Valores S.A. serving as co-lead placement agents.
Holland & Knight's representation of RCI was led by Partner Camilo Gantiva Hidalgo, with the support from Associates Juan Felipe Fontecha Mejía and Camila Vivas Valencia.
"This achievement is remarkable for the company. With a bid-to-cover ratio of 3.63, this offering stands out as one of the most successful in the local market post-pandemic," said Mr. Gantiva Hidalgo. "Despite a tough year for the Colombian securities market, this success demonstrates that investors remain eager to back issuers with a solid strategy."
