Schoenherr advised ASSA ABLOY, a global leader in access solutions, on its acquisition of Roger Sp. z o.o. sp.k., a Polish manufacturer of on-premise electronic access control systems and related hardware.

The transaction highlights ASSA ABLOY's continued strategic growth in Central and Eastern Europe by adding complementary solutions to its portfolio. The acquisition of Roger is expected to be accretive to earnings per share (EPS) from the outset.

Schoenherr's advice on the transaction is part of a longstanding relationship with ASSA ABLOY, with the firm having previously advised on ten strategic acquisitions across the CEE region. Its extensive expertise in cross-border M&A continues to support ASSA ABLOY's growth and market expansion goals.

Roger, established in 1991, has built a strong reputation in Poland over its 30-year history, providing trusted electronic access control systems to more than five million users. Headquartered in Gosciszewo, Poland, the company employs approximately 100 people and reported sales of PLN 42m (approx. SEK 110m) in 2023, with a strong EBIT margin.
