Shearman & Sterling advised Morgan Stanley Senior Funding, Inc., as Administrative Agent, in respect of a $1.15 billion incremental financing for Culligan International, a portfolio company of BDT Capital Partners, consisting of term B loans and delayed draw term loans. Proceeds from the term b loans will be used to finance the acquisition of a group of international businesses from the Primo Water Corporation and for general corporate purposes, while proceeds from the delayed draw term loans will be used to finance permitted acquisitions, capital expenditures, to repay revolving facility loans, and for other general corporate purposes.

Founded in 1936 and headquartered in Rosemont, Illinois, Culligan International manufactures and distributes water filtration and treatment solutions for drinking and soft water in the United States and internationally for residential, office, commercial, and industrial applications. It offers water softeners, drinking water systems, whole house water filters, bottled and bottle less water coolers, showerheads and pitchers.
