Shearman & Sterling advised the initial purchasers in connection with a Rule 144A/Regulation S offering by Dana Financing Luxembourg S.à r.l. of €425 million aggregate principal amount of 8.500% Senior Notes due 2031. The notes are guaranteed by Dana Financing Luxembourg's parent company, Dana Incorporated, and are expected to be listed on the Official List of the Luxembourg Stock Exchange and admitted to trading on its Euro MTF Market.
