Brazil

KLA advised Canal Companhia de Securitização, as securitization company, and Ativa Investimentos, as lead coordinator, on the structuring and public offering of Certificados de Recebíveis Imobiliários (CRI), in two series, of the 191st issuance by Canal Companhia de Securitização, in a total amount of up to R$ 360 million.

The CRIs are backed by real estate receivables owed by Empreendimento Imobiliário LOG PR SPE Ltda., supported by a robust package of guarantees, including a fiduciary lien on the property, the fiduciary assignment and promise of fiduciary assignment of receivables arising from the built-to-suit (BTS) lease agreement entered into with Mercado Livre Brasil Ltda., one of the leading players in Latin America’s e-commerce and logistics sector, as well as a fiduciary lien on the entirety of the debtor company’s quotas.

At KLA, the transaction was led by partner Livia Siviero Huh, with the participation of Real Estate Law lawyers Carla Fernandes and Bianca Fleury, and Capital Markets and Real Estate Business lawyer Danielly Ribeiro.

The debtor was advised by Amatuzzi Advogados, led by partner Bruno Amatuzzi.
