Global law firm K&L Gates has advised Cannatrek Ltd on the sale of 100% of its issued capital to Little Green Pharma Ltd (ASX:LGP) by way of scheme of arrangement, which the Federal Court of Australia recently approved.

Cannatrek is a leading Australian medicinal cannabis company with a strong domestic cultivation and distribution platform, while Little Green Pharma is a vertically integrated ASX-listed operator with an expanding international footprint.

On implementation, Little Green Pharma will own 100% of Cannatrek, creating one of the largest integrated medicinal cannabis businesses in the country, combining complementary cultivation, manufacturing, and distribution platforms to scale operations domestically and overseas.

This transaction reflects continued consolidation in Australia’s medicinal cannabis sector, as operators seek scale, vertical integration, and improved distribution capabilities in a highly regulated environment.

The deal team was led by Melbourne Corporate partner Harry Kingsley, with support from senior associates Rami Maserow, Mathika Perera, and Alex Garfinkel, and lawyer Seb Kostas. Health and life sciences regulatory advice was provided by Paris Petranis and Julia Baldi, and litigation strategy was spearheaded by Stephen Hume and Anna Smith.

Advocacy at the first and second court hearings was handled by external counsel Dr. Oren Bigos KC and Harry Hill-Smith.
