On December 22, 2025, Stracon Holdings S.A. ("Stracon"), a Peruvian company operating in the mining services and infrastructure construction fields throughout the Americas, redomiciled to Canada through an amalgamation, without a prior continuation, with a Yukon company. The amalgamated entity, Stracon Group Holding Inc., subsequently continued to Ontario and listed on the main board of the Toronto Stock Exchange with a valuation of US$400 million.
The transaction involved several years of analysis and test transactions. The cross-border amalgamation was unprecedented as an efficient means of redomiciling a Peruvian company in Canada. In connection with the listing, certain waivers from TSX requirements were successfully obtained, and company employees worldwide became shareholders. Additionally, the transaction involved negotiations with the client's lenders.
