Appleby Advises Li & Fung On US$300M Bond Issuance And US$650M Tender Offer

Appleby acted as Bermuda counsel to Li & Fung Limited (“Li & Fung”) for its issuance of US$300 million bond at an 8.375% coupon, due in February 2029, to refinance existing debt maturing in 2025 (the “Bonds”).

Appleby acted as Bermuda counsel to Li & Fung Limited ("Li & Fung") for its issuance of US$300 million bond at an 8.375% coupon, due in February 2029, to refinance existing debt maturing in 2025 (the "Bonds"). The final order book of the bond offering was close to US$1 billion, representing 3 times oversubscription with strong participation from key global institutional investors. The Bonds are listed on the Singapore Exchange Securities Trading Limited. In parallel, Appleby also acted for Li & Fung in respect of its tender offer to eligible holders of its outstanding US$650 million 5.25% subordinated perpetual capital securities (the "Securities") to tender up to US$50 million of their Securities for purchase for cash.

The Company retained Citigroup Global Markets Limited, DBS Bank Ltd. and MUFG Securities EMEA PLC to act as Dealer Managers and Sodali & Co Limited acted as tender agent for the tender offer.
