Carey Olsen has advised Echo, an early stage crypto and digital assets investment platform, on its US$375 million acquisition by Coinbase, a publicly listed crypto exchange and crypto platform.

Launched in 2024, Echo's platform facilitates community-led fundraising and investment opportunities for digital assets projects through private and public token sales. The platform has since helped to raise more than US$200 million across approximately 300 completed deals.

Carey Olsen has advised Echo from inception on all British Virgin Islands ("BVI") aspects of the legal and regulatory structure and provides registered office and agent services to the BVI SPVs formed to house each early stage deal.

Partner Chris Duncan led the team advising Echo on this acquisition, supported by partner Elizabeth Killeen, senior associate Angela Gizzi and associates Andrea Walters and Francis Abiona. The team advised on all aspects of BVI law in connection with the transaction, working alongside US legal advisers Cooley and Brookwood Law.

Chris Duncan commented, "Advising Echo on their acquisition by Coinbase has been the culmination of a lot of hard work from a broad and talented Carey Olsen team covering BVI corporate, funds and regulatory matters. For me personally, it is very satisfying to be involved with a client from the idea stage through to a successful acquisition, and to have been a part of making Echo the platform it is today. I look forward to seeing what is next for Echo and the team."
