Led by partner Kristen Kwok and supported by Helena Chu, our team advised on the Cayman Islands law aspects of the ESG-driven transaction for Yankuang Group and the fintech transaction for FundPark. Details of the transactions:

Yankuang Group (Cayman) Limited

  1. We acted as Cayman Islands legal counsel to Yankuang Group (Cayman) Limited (Stock code: 1171.HK), the fourth largest coal mining state-owned enterprise in PRC, on the issuance of US$500M secured guaranteed exchangeable blue bonds due in 2029 guaranteed by Shandong Energy Group Co., Ltd.

    The Bonds are listed on The Stock Exchange of Hong Kong Limited and are initially exchangeable into 282,697,893 H shares of Yankuang Energy Group Company Limited.

    Our team was led by partner Kristen Kwok, alongside with Freshfields, who acted for the issuer, Yankuang Cayman, and Linklaters, who acted for the manager.

  2. We acted as Cayman Islands legal counsel to US$250M 4.95% Guaranteed Green Bonds due 2028 by Yankuang Group (Cayman) Limited irrevocably and unconditionally guaranteed by Shandong Energy Group Co., Ltd.

    Our team, led by partner Kristen Kwok and supported by senior associate Helena Chu, worked alongside with Haiwen & Partners LLP, who acted for the issuer, Yankuang Cayman, Linklaters, who acted for the Manager and Trustee, Cayman Shandong, Taiyangshi Law Firm, who acted as PRC counsel for the issuer, and King & Wood Mallesons, who acted as PRC counsel for the Manager.

FundPark

We advised Hong Kong-based Fintech firm FundPark on its up to US$250 million asset-backed securitisation facility, with HSBC providing up to US$200 million as senior lender. FundPark provides trade finance for e-commerce SMEs, with a major focus on helping e-commerce entrepreneurs across Greater China find opportunities in an evolving market.

Our legal team, led by Kristen Kwok, advised on all Cayman Islands law aspects of the transaction. Our Professional Services team was led by Jordan Hebert, Gennie Bigord and Linval Stewart FCCA.
