Schoenherr advised Eversports, an Austrian SaaS-enabled sports booking platform, and its shareholders on the start-up's acquisition by the European specialist growth investor Verdane.
The deal was signed on 31 July 2024 and closed on 6September 2024. Eversports' shares were held by its founders and multiple venture capital investors, and Schoenherr advised on all aspects of the transaction, including pre-closing restructurings and capital increases. The partnership with Verdane will accelerate Eversports' growth in Europe and beyond, with plans to make Eversports one of the world's leading software and booking platforms for sports, fitness and wellbeing.
Founded in 2013, Eversports is an Austrian start-up operating a software as a service (SaaS)-enabled sports booking platform that facilitates approximately 1.5m bookings per month, connecting over 4,000 sports and activity providers and half a million active users. Eversports' mission is to make physical activities accessible to the public, as well as to help companies in the sports industry manage their client base and booking processes using their "Eversports Manager"-software.
Verdane is a specialist growth investment firm that partners with tech-enabled and sustainable European businesses, focusing on two core growth themes: digitalisation and decarbonisation. Verdane manages assets worth approximately EUR 7.7bln, having made over 400 investments since 2003.
