On 17 February 2023, the China Securities Regulatory Commission (CSRC) published a set of regulations relating to overseas offerings and listing by PRC companies, including the Trial Administrative Measures of Overseas Securities Offering and Listing by Domestic Companies (together, the "New Overseas Listing Regulations"). The New Overseas Listing Regulations took effect on 31 March 2023.

Under the New Overseas Listing Regulations, PRC companies seeking overseas listing are required to make certain filings with the CSRC and complete a review process by submitting certain filing materials including a filing report and a legal opinion issued by PRC counsel.

As Cayman and BVI counsel, Ogier has been working and discussing with many issuers, PRC counsel and securities companies to assist them with the due diligence from Cayman and BVI perspective, and have already issued many due diligence opinions to the satisfaction of the parties.

If you need further information on how we can help with your CSRC filing, please contact Nathan Powell, Rachel Huang, Cecilia Li, Florence Chan, Sophie Zhong or Davy Guan.
