Link Legal advised and assisted Vinzero PTE Limited ("Vinzero") in its acquisition of equity stake in Capricot Technologies Private Limited ("Capricot"), by way of a transfer of equity shares held by RIB Limited. Pursuant to the closure of the transaction on 21st October 2021, Vinzero holds 20% stake in Capricot.
Vinzero is a newly estimated holding company based in Singapore with consolidated RIB's CAD companies (ANZ, India and UK), mainly engaged in the business of reselling Autodesk products.
Capricot provides software technologies covering entire building lifecycle from conceptualization, design, engineering, construction, and Operation & Maintenance and serving customers in building, infrastructure, manufacturing, media & entertainment, geospatial, graphic and education industry.
Link Legal led by its corporate Partner Ketan Mukhija, Associate Partner Gaurav Priyadarshi and Senior Associate Apurv Ranjan assisted Vinzero from the preliminary stage and until the effective closing of the entire transaction. The scope of work also involved drafting and finalization of the definitive agreement and other ancillary documents, assisting and advising Vinzero on the relevant compliances with the extant Indian exchange control regulations, as well as general Indian law advisory on applicable corporate legal compliances and stamp duty payment.
