An SEC proposal to amend rules and forms that would "mitigate the risk of unregistered distributions in connection with sales of market-adjustable securities" was published in the Federal Register. Comments on the proposed amendments must be submitted by March 22, 2021.

As previously covered, the SEC is proposing amendments to Securities Act Rule 144 ("Persons deemed not to be engaged in a distribution and therefore not underwriters") and Form 144 filing requirements.
