MSF Wins NJ Court Ruling Upholding Right Of First Refusal For Assisted Living Facility Sale

Meister Seelig & Fein, PLLC defended Serenity Homes at Brick, LLC, Chaim Gulkowitz and Bena Gulkowitz against an order to show cause filed by Plaintiffs Alcoeur Gardens @ Brick, LLC, Alcoeur Homes @ Brick, LLC and Denise Vantassell in an action brought by Plaintiffs to attempt to strip Defendants of their right of first refusal over the sale of an assisted living facility in Toms River, New Jersey. Oral argument was heard on January 8, 2026, and on February 13, 2026, the Superior Court issued an order denying the relief sought in the order to show cause in its entirety. Counsel Joaquin Ezcurra and associate Jordan Biener handled the opposition to the order to show cause.
