THIS TRAINING PROVIDES AN IN DEPTH ANALYSIS OF THE MOST SALIENT FEATURES OF THE LUXEMBOURG "SOCIÉTÉ EN COMMANDITE" REGIMES, I.E., THE SOCIÉTÉ EN COMMANDITE SIMPLE (COMMON LIMITED PARTNERSHIP – CLP OR SCS), THE SOCIÉTÉ EN COMMANDITE SPÉCIALE (SPECIAL LIMITED PARTNERSHIP – SLP OR SCSP) AND THE SOCIÉTÉ EN COMMANDITE PAR ACTIONS (CORPORATE PARTNERSHIP LIMITED BY SHARES – SCA), HIGHLIGHTING THEIR MOST RELEVANT STRUCTURING AND GOVERNANCE TERMS. Objectives

This training provides an in depth analysis of the most salient features of the Luxembourg "société en commandite" regimes, i.e., the société en commandite simple (common limited partnership – CLP or SCS), the société en commandite spéciale (special limited partnership – SLP or SCSp) and the société en commandite par actions (corporate partnership limited by shares – SCA), highlighting their most relevant structuring and governance terms. The training will focus on their use as alternative investment funds (AIFs) as well as special purpose vehicles (SPVs).

This training will also highlight the regulatory implications under the SIF Law and SICAR Law.

  • Legal fundamentals under the 1915 Law
  • Structuring fundamentals under the 2013 AIFM Law
  • Governance structuring under the 1915 Law as well as the 2013 AIFM Law
  • Case studies

Our methodology is interactive and includes case studies, analysis of specific issues and practical implications deriving from the legal and regulatory framework. A special focus is placed on interaction with participants as well as on questions and answer sessions.
