Cahill represented the underwriters in connection with a public offering of common stock by McGraw Hill, Inc.

The offering made available 24.39 million shares of common stock at a public offering price of $17.00 per share, which raised approximately $415 Million (excluding fees, discounts, and commissions). In addition, the underwriters have an option to purchase up to an additional 3.65 million shares of common stock solely to cover over-allotments.

Proceeds from the offering are excepted to be used to paydown a portion of the company's outstanding borrowings.
