A&O Shearman represented CSW Industrials, Inc. in its upsized follow-on public offering of 1,265,000 shares of common stock, including an overallotment option of 165,000 shares exercised by the underwriters at a public offering price of USD285.00 per share. The transaction resulted in gross proceeds to the company of approximately USD360.5 million before deducting underwriting discounts, commissions and offering expenses.

Our highly successful work for CSW Industrials showcases the firm’s continued growth in Texas and reaffirms A&O Shearman’s commitment in the region. The transaction was announced on September 5, 2024 in a press release.

J.P. Morgan, Goldman Sachs & Co. LLC and Truist Securities acted as joint lead book-running managers for this offering. Wells Fargo Securities and Citigroup acted as joint book-running managers. CJS Securities, Comerica Securities, TPH&Co., the energy business of Perella Weinberg Partners, and Zions Capital Markets acted as co-managers of the offering. CSW Industrials is a diversified industrial growth company with industry-leading operations in three segments: Contractor Solutions, Specialized Reliability Solutions, and Engineered Building Solutions.
